Bo'ness has a long and important history in the Forth Valley.

Bo'ness sits on the River Forth and covers the areas from Kinneil Estate in the west to Blackness in the east.

Bo'ness has a long and interesting archaeological, architectural, historical and industrial heritage dating from before the bronze age. And the future offers many more opportunities.


Constitution

Bo'ness mean Business Constitution

1. NAME

The name of the Organisation shall be Bo'ness means Business.

2. OBJECTIVES

  • Present a unified business perspective to relevant public and private sector bodies
  • To help promote and improve business in Bo'ness
  • To act as liaison within the business community and with other relevant external bodies
  • To take a proactive role in Falkirk Council's District Town Centres strategy
  • Act as a catalyst/co-ordinator/advocate for initiatives and improvements to the business environment in Bo'ness
  • To co-ordinate the provision of business and customer care skills development opportunities

3. MEMBERSHIP

Membership of the Organisation will be open to representatives of businesses operating from or in Bo'ness A membership fee (the amount to be agreed at AGM on an annual basis) will be payable annually by each participating business member. Only fully paid-up members will have voting rights.

4. MANAGEMENT

The Management of the Organisation will be governed by a Committee of not more than eight and will have the power to co-opt additional members as required.

Of the eight members there will be elected a Chairman, Vice-Chairman, Honorary Secretary, and Honorary Treasurer.

These Office-Bearers will be elected annually at the Annual General Meeting but will be eligible for re-election. Members of the Committee may be re-elected for a further term of office (but shall not exceed three consecutive years).

A quorum at a Management Committee or General Meeting will be five fully paid-up members.

The Management Committee will meet as often as necessary. The Honorary Treasurer will keep proper Accounts of the Organisation and operate funds lodged in organisation bank account. The Treasurer will be outlined to sign cheques and other documents together with the Chairman, Vice-Chairman or Secretary's signature.

An Annual Statement of Accounts will be prepared and audited by an Independent Auditor elected at the Annual General Meeting. These Accounts will be submitted to all members of the Organisation for approval. The financial year to end 31st March of each year.

The Secretary will send out notices convening the Annual General Meeting together with the audited accounts and nominations for Office Bearers and Committee at least 14 days before the date decided for the Annual General Meeting.

The Secretary shall within 21 days of receiving a written request, signed by no less than eight members, call an Extraordinary General Meeting of the Organisation at which a quorum will be five members.

5. MEETINGS

Meetings will be held regularly on a monthly basis (or otherwise agreed at meeting) and conducted by Chairman or Vice-Chairman or in their absence another member of the Management Committee. A quorum will be required and constitute a minimum of five members, three of whom should be members of the Management Committee.

6. PROPERTY

The title to all heritable property which may be acquired by or for the purposes of the Organisation shall be taken and shall thereafter stand in the name of the Chairman and Secretary as Trustees (ex officio) for the Organisation and
shall be held by them and their successors for the purpose of the Organisation as determined by this Constitution. The property will be shown as an asset on the balance sheet

7. DISSOLUTION

In the event of the Organisation becoming defunct, an Extraordinary General Meeting will be convened. If such a decision is confirmed, the Committee shall have the power to dispose of any assets held by or in the name of the Organisation.

The assets or proceeds from the sale of the assets, if applicable, shall be donated to charitable purposes for the benefit of the inhabitants of Bo'ness.

8. ALTERATION TO THE CONSTITUTION

Any proposal to alter the constitution must be delivered in writing to the Secretary of the Management Committee not less than 14 days prior to the date of the Annual General Meeting or at any Special General Meeting convened for the purpose.

Any such proposal will require the approval of a two-thirds majority of the attending members at that meeting.

Bo'ness means Business was originally constituted in 2002 to represent the views, aspirations and needs of local businesses to local government, government agencies and the Scottish Executive.

Origins

BmB has its orgins in the now disbanded Bo'ness Traders Association which for various reasons ceased its operations.

To act as a catalyst to drive the future growth and development of the business opportunities in Bo'ness and surrounding areas with existing and future public and private sector bodies.

Open membership policy

Membership is open to all businesses operating from or located within the boundaries of Bo'ness.
